Our expertise in corporate law includes publicly held and privately held corporations and partnerships. We advise on founding, restructuring and liquidating corporations and partnerships and preparing and conducting general meetings. We assist boards and executives with all corporate and financing issues they may face.

We also assist listed corporations in dealing with uncooperative shareholders, squeeze-outs and delisting and complying with issuer obligations and insider trading regulations.

Another focus of our practice is on shareholder disputes, which often necessitate advice on legal issues of enterprise valuation, and disputes with board members and executives, often involving D&O insurance, both before the ordinary courts and arbitral tribunals.

We also help creating company compliance structures, organizational structures and processes that ensure that the business is correctly and efficiently managed and monitored.

We are well placed to advise on business succession matters due to our experience with family-run businesses, involving both succession within the family as well as solutions involving external managers or investors. We focus on customized solutions, paying particular attention to the interests of the parties, for example by transferring a business or involving external managers in phases. We work closely with tax advisors to identify and implement the structure best suited to party interests.
